1. Acceptance of Terms

By accessing or using PPL UP ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

These terms constitute a legally binding agreement between you and PPL UP.

2. Service Description

PPL UP provides social media analytics tracking services, displaying publicly available information from various social media platforms including follower counts, metrics, and growth statistics.

The Service is provided on an "as available" basis. While we strive for accuracy and reliability, we do not guarantee:

• Absolute accuracy of all displayed data
• Uninterrupted or error-free operation
• Immediate availability of the most recent data

Data may be delayed, incomplete, or temporarily unavailable due to third-party API limitations or technical issues beyond our control.

3. User Accounts and Responsibilities

To use certain features of the Service, you must create an account. You are responsible for:

• Providing accurate and complete information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You must be at least 16 years old to create an account and use the Service.

4. Prohibited Conduct

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without express written permission
• Impersonate any person or entity or misrepresent your affiliation

• Harass, abuse, or harm other users

Violation of these terms may result in immediate termination of your account.

5. Privacy and Data Protection

Your privacy is important to us. We collect and process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR.

We only collect and display publicly available information from social media platforms. We do not access private accounts or store social media credentials.

6. Third-Party Services

The Service relies on third-party APIs and services provided by social media platforms. These services:

• Are subject to their own terms of service and privacy policies
• May change, break, or become unavailable at any time
• May impose rate limits or access restrictions

We are not responsible for the availability, accuracy, or policies of third-party services. Any issues with third-party platforms are beyond our control.

7. Intellectual Property

All content, features, functionality, and design of the Service are owned by PPL UP and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Reproduce, distribute, or create derivative works without permission
• Use any content for commercial purposes without authorization
• Remove or alter copyright or proprietary notices

8. Limitation of Liability

To the extent permitted by Portuguese law and without prejudicing mandatory consumer protection rights:

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising from:

• Your use or inability to use the Service
• Errors, inaccuracies, or omissions in the data provided
• Third-party services or API failures
• Unauthorized access to your data through no fault of ours

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid, if any, for accessing the Service in the 12 months preceding the claim.

This limitation does not affect any liability that cannot be excluded or limited under applicable law, including liability for gross negligence or willful misconduct.

9. Warranty Disclaimer

Subject to mandatory consumer protection laws, the Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

We make reasonable efforts to provide accurate and reliable service, but we do not warrant that:

• The Service will meet all your requirements
• The Service will be completely uninterrupted or error-free
• All data will be perfectly accurate at all times
• All defects will be immediately corrected

10. Termination

You may terminate your account at any time by contacting us or using account deletion features within the Service.

We reserve the right to suspend or terminate your access to the Service:

• For breach of these Terms
• For illegal or harmful conduct
• If required by law
• For protecting the Service or other users

Upon termination, your right to use the Service ceases immediately. We will handle any remaining data in accordance with our Privacy Policy and GDPR requirements.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Notify you by email or through a prominent notice on the Service
• For significant changes, provide reasonable advance notice

Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the new Terms, please discontinue use of the Service.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ppl up from claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity

13. Dispute Resolution

If you have any concerns or disputes, please contact us first at team@pplup.com. We will make reasonable efforts to resolve the issue amicably.

If informal resolution is not possible, disputes may be resolved through mediation or arbitration before resorting to court proceedings, where permitted by Portuguese law.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the Portuguese courts. If you are a consumer, you also have the right to bring proceedings in the courts of your country of residence.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PPL UP regarding the Service and supersede all prior agreements.
